1. Agreement to Terms
By accessing or using the services provided by Green Valley Landscaping ("Company," "we," "our," or "us"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you may not access our services.
These Terms apply to all visitors, users, and others who access or use our landscaping services, whether obtained through our website your-domain.com or through direct contact.
2. Services Provided
Green Valley Landscaping provides professional landscaping services including but not limited to:
- Garden design and maintenance
- Lawn care and turf management
- Tree and shrub care
- Landscape installation and renovation
- Seasonal cleanup services
- Irrigation system installation and maintenance
All services are subject to availability and may vary based on location, season, and specific customer requirements.
3. User Obligations and Representations
By engaging our services, you represent and warrant that:
- You are at least 18 years of age or have parental/guardian consent
- You have the legal authority to enter into this agreement
- All information provided to us is accurate and complete
- You own or have permission to modify the property where services will be performed
- You will provide safe and unobstructed access to the work area
- You will disclose any known hazards or underground utilities on the property
4. Service Agreements and Estimates
4.1 Quotes and Estimates
All quotes and estimates are valid for 30 days from the date of issue. Prices may be subject to change based on material costs, labor requirements, or unforeseen site conditions.
4.2 Acceptance of Services
Services commence upon receipt of signed agreement and any required deposit. Acceptance may be indicated by signature, email confirmation, or commencement of work.
4.3 Modifications
Any changes to the agreed scope of work must be requested in writing and may result in adjusted pricing and timelines. We reserve the right to refuse modifications that compromise safety or quality.
5. Payment Terms and Conditions
5.1 Payment Schedule
Payment terms will be specified in your service agreement. Standard terms include:
- Deposit of 30-50% may be required for large projects
- Progress payments for extended projects as outlined in agreement
- Final payment due upon completion unless otherwise specified
- Recurring maintenance: payment due within 15 days of invoice date
5.2 Late Payments
Accounts not paid within agreed terms may be subject to late fees of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for overdue accounts.
5.3 Accepted Payment Methods
We accept cash, bank transfers, credit cards, and approved checks. A convenience fee may apply to credit card transactions.
6. Cancellation and Rescheduling
6.1 Client Cancellation
Cancellations must be made at least 48 hours before scheduled service. Late cancellations may be subject to a cancellation fee of up to 50% of the scheduled service cost. Deposits may be non-refundable once materials have been ordered.
6.2 Company Cancellation
We reserve the right to cancel or reschedule services due to weather conditions, equipment failure, or other circumstances beyond our control. Customers will be notified as soon as possible, and no cancellation fees will apply.
7. Warranties and Guarantees
7.1 Workmanship Warranty
We guarantee our workmanship for a period of one year from completion date. This warranty covers defects in installation and workmanship but does not cover damage from acts of nature, improper maintenance, or third-party interference.
7.2 Plant Material
Living plant material is guaranteed for 90 days from installation date, provided proper care instructions are followed. Warranty does not cover damage from extreme weather, pest infestation, or inadequate watering.
7.3 Warranty Claims
All warranty claims must be submitted in writing within 30 days of discovering the defect. We reserve the right to inspect the work and determine appropriate remedial action.
8. Limitations of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability shall not exceed the amount paid for the specific service giving rise to the claim
- We are not liable for indirect, incidental, consequential, or punitive damages
- We are not responsible for damage to unmarked underground utilities, irrigation systems, or invisible structures
- We are not liable for damage caused by severe weather, acts of God, or third parties
- Claims must be made within 30 days of service completion
This limitation applies to all claims based on warranty, contract, tort, or any other legal theory.
9. Intellectual Property Rights
All content on our website, including but not limited to text, graphics, logos, images, designs, photographs, and software, is the property of Green Valley Landscaping or its licensors and is protected by copyright, trademark, and other intellectual property laws.
Landscape designs created for your property remain our intellectual property until full payment is received. Upon full payment, you receive a limited license to implement the design on your property. Designs may not be reproduced, sold, or used for other properties without written permission.
You may not reproduce, distribute, modify, or create derivative works from our materials without explicit written consent.
10. Prohibited Uses
You agree not to use our services or website for any unlawful purpose or in any way that:
- Violates any applicable local, national, or international law
- Infringes upon the rights of others
- Harasses, abuses, or harms our employees or contractors
- Provides false or misleading information
- Attempts to gain unauthorized access to our systems
- Interferes with the proper functioning of our services
- Uses our services for competitive research or to replicate our business model
- Collects information about other users without consent
11. Property Access and Safety
11.1 Site Access
You agree to provide clear and safe access to all work areas. This includes unlocking gates, restraining pets, and removing obstacles that may hinder our work.
11.2 Underground Utilities
You are responsible for marking the location of underground utilities, septic systems, irrigation lines, and other buried infrastructure. We recommend contacting your local utility marking service before work begins.
11.3 Pets and Children
For safety reasons, pets must be secured and children supervised during service provision. We reserve the right to suspend work if safety concerns arise.
12. Indemnification
You agree to indemnify, defend, and hold harmless Green Valley Landscaping, its officers, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:
- Your breach of these Terms
- Your violation of any law or rights of a third party
- Your failure to disclose property hazards or underground utilities
- Damage resulting from inaccurate information provided by you
- Actions taken by third parties on your property
13. Force Majeure
We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, severe weather, pandemics, government actions, labor disputes, equipment failures, or supplier delays.
In such events, our obligations will be suspended for the duration of the force majeure event, and deadlines will be extended accordingly.
14. Termination
14.1 Termination by Company
We reserve the right to terminate services immediately and without notice if:
- You breach any provision of these Terms
- Payment obligations are not met
- You engage in abusive or threatening behavior toward our staff
- Unsafe conditions exist on the property
- You provide false or misleading information
14.2 Termination by Client
You may terminate ongoing service agreements with 30 days written notice. Early termination may result in cancellation fees and forfeiture of deposits for work in progress.
14.3 Effect of Termination
Upon termination, you remain obligated to pay for all services rendered up to the termination date. Provisions regarding intellectual property, liability limitations, and indemnification survive termination.
15. Privacy and Data Protection
Your privacy is important to us. Collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to our collection and use of information as described in our Privacy Policy.
We comply with all applicable data protection regulations including GDPR where applicable. You have the right to access, correct, or delete your personal information by contacting us.
16. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions.
Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Czech Republic. By using our services, you consent to the personal jurisdiction of such courts.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. Dispute Resolution
17.1 Informal Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or our services, the parties agree to first attempt to resolve the matter through good-faith negotiations. You agree to contact us in writing and provide at least 30 days to resolve the issue before pursuing formal action.
17.2 Mediation
If informal resolution fails, either party may initiate mediation. Both parties agree to participate in at least one mediation session before pursuing litigation.
17.3 Arbitration
If mediation is unsuccessful, disputes may be resolved through binding arbitration in accordance with the rules of the Czech Arbitration Court, unless both parties agree otherwise.
17.4 Class Action Waiver
You agree to resolve disputes with us on an individual basis and waive your right to participate in class action lawsuits or class-wide arbitration.
18. Communications and Notices
By using our services, you consent to receive communications from us electronically via email, SMS, or through our website. You agree that all agreements, notices, and other communications satisfy any legal requirement that such communications be in writing.
Notices to Green Valley Landscaping should be sent to the contact information provided on our website. Notices to you may be sent to the email address or physical address you provided when engaging our services.
19. Changes to Terms and Conditions
We reserve the right to modify or replace these Terms at any time at our sole discretion. Material changes will be notified by email or prominent notice on our website at least 30 days prior to the changes taking effect.
Your continued use of our services after any changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using our services.
It is your responsibility to review these Terms periodically for changes.
20. Severability and Waiver
20.1 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.
20.2 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
21. Entire Agreement
These Terms, together with our Privacy Policy and any written service agreement, constitute the entire agreement between you and Green Valley Landscaping regarding our services and supersede all prior agreements, understandings, and communications, whether oral or written.
No employee or agent has authority to vary these Terms unless specifically authorized in writing by an officer of the Company.
